Atom Terms of Service (ATOS)

Please read this Atom Terms of Service Agreement carefully, as it contains important information regarding your legal rights and remedies including consent to mandatory arbitration for any disputes arising out of this Agreement or any Service Agreement.

Welcome to Atom, which is provided by Squadhelp LLC (collectively such entities will be referred to as "Atom", "we" or "us"). These Atom Terms of Service (“ATOS”)  (this “Agreement”) is entered into between you and Atom effective as of the date of your use of www.atom.com (the “Website”) or the date of electronic acceptance. This Agreement governs your access to and use of the “Website” as well as any and all content, functionality and services offered on or through the Website (collectively, the “Services”). Any agreements, arrangements and/or additional policies that apply to certain Services ("Services Agreements") and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control. We may amend this Agreement at any time by posting the amended terms on our Website. In addition, we may occasionally notify you of changes or modifications to this Agreement and/or any Services Agreement by e-mail. Therefore, it is critical to keep all of your information current in your Atom account. We assume no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.

By accessing, registering for or using the Services, you represent, warrant and covenant:

  • you are at least 18 years of age;
  • you agree to be bound by this Agreement, any applicable Service Agreement, and all Atom policies and guidelines referenced in this Agreement, an applicable Service Agreement or incorporated into this Agreement by reference;
  • you have the legal power and authority to enter this Agreement on behalf of yourself or the person or entity you represent; and
  • you will not abuse or misuse the Service or misrepresent your identity to us.

This Agreement contains warranty disclaimers and other provisions that limit our liability to you. Please read this Agreement carefully and in its entirety, as accessing, registering to use or using the Service constitutes acceptance of this Agreement. If you do not agree to be bound to each and every term and condition set forth herein, please exit our Website immediately and do not access or use the Services any further.

ATOM RESERVES THE RIGHT TO MODIFY, CHANGE, OR DISCONTINUE ANY ASPECT OF THIS SITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION PRICES AND FEES FOR THE SAME, AT ANY TIME.

1. Definitions

"Atom", "we", "us", "our" refer to Atom and its affiliates that provide the Services.

"You" or "Your" means the individual or entity using the Services.

Services and Content

  • Services means all products, websites, applications, and online or offline offerings provided by Atom.
  • Content means all text, data, information, graphics, audio, video, and other material available through the Services.
  • User Content refers to Content provided by a User or Member, including Entries, listings, messages, and feedback.

2. Your Agreement with Us; Order of Precedence

Contracting Entity

Your agreement is with Atom and, where relevant, its affiliates or service providers that operate a particular Service.

Binding Agreement

Your agreement is with Atom and, where relevant, its affiliates or service providers that operate a particular Service. References to "we," "us," or "our" mean that contracting entity.

Supplemental Terms for Specific Services

Certain Services—such as domain registration, DNS hosting, or creative Contests—are governed by one or more Service Agreements that include additional rights and responsibilities.

Updates to the Agreement

We may update these ATOS or any Service Agreement from time to time by posting the revised version on our Website.

3. Account Creation and Security

  • Creating an Account: You must create an Atom user account (a “User Account”) to access or use certain Services.
  • Account Credentials: You are responsible for maintaining the confidentiality and security of your login credentials, including your username, password, and any other information used to access your User Account.
  • Account Closure: You may close your User Account at any time through your account settings or by contacting our support team.

4. Payments, Credits, Taxes, and Refunds

Payments

All payments for Services must be made through one of Atom’s authorized payment providers.

Payments Types

  1. Dollar Credits: Each Dollar Credit equals one (1) United States dollar.
  2. Atom Credits: Non-cash credits redeemable only for services within the platform.
  3. Refund Policy: Atom may issue refunds at its discretion or as required by applicable law. Refund requests must be made within seven (7) days of the transaction.

5. Intellectual Property

Ownership of Atom Materials

Atom owns all Intellectual Property Rights in and to the Services, including all software, databases, systems, interfaces, and visual designs.

Your Content

You retain ownership of all Intellectual Property Rights in your User Content.

6. Privacy and Data Use

Your use of the Services is subject to Atom’s Privacy Policy, which is incorporated into these ATOS by reference. The Privacy Policy describes how Atom collects, uses, stores, and protects personal data.

7. Suspension and Termination

Suspension of Services

Atom may suspend or restrict your User Account or access to any Service at any time, with or without notice, if Atom determines that you have violated these ATOS.

Termination

Atom may terminate your User Account or any Service at any time, for any reason or no reason.

8. Disclaimers and Limitation of Liability

NO WARRANTY

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND.

Limitation of Liability

To the maximum extent permitted by law, Atom and its affiliates will not be liable for any indirect, incidental, special, punitive, or consequential damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Atom from and against any claims or losses arising out of your use of the Services.

10. Dispute Resolution and Arbitration

Agreement to Arbitrate

ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND ATOM WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION INSTEAD OF IN COURT.

Governing Law

These ATOS and any arbitration or court proceedings arising under them are governed by the laws of the State of Illinois.

11. General Terms

These ATOS, together with any applicable Service Agreements and incorporated policies, constitute the entire agreement between you and Atom concerning your access to and use of the Services, and supersede all prior agreements.
